AGREEMENT CUM SERVICE INVOICE
Digital Service Access, Onboarding, and Facilitation Agreement
This Agreement-cum-Service Invoice (“Agreement”) constitutes a legally binding contract between VIB, an established digital service provider (“Service Provider”), and the undersigned customer (“Customer”), effective as of the date and time of electronic acceptance recorded with the associated Order Reference.
This document serves as formal confirmation of the Customer’s voluntary request, acceptance, and receipt of digital services provided by the Service Provider.
1. Service Request and Engagement
The Customer confirms that they have voluntarily requested digital services involving access facilitation, onboarding assistance, account upgrade assistance, configuration support, and related service functions associated with a specific application, software system, digital environment, or esport title.
The Customer acknowledges that these services are delivered digitally and remotely and are initiated upon Customer request.
2. Nature and Scope of Digital Service
The Service Provider operates as an independent digital service provider engaged in facilitating access enablement, onboarding assistance, digital profile access handover facilitation, configuration assistance, and requested service enablement within applications, software platforms, digital environments, and esport titles.
These services involve enabling and facilitating Customer access and assisting with onboarding and transition into the requested digital environment.
The Service Provider provides facilitation services only and does not exercise ongoing control over any application, software, digital environment, or esport title after completion of the requested service.
3. Digital Profile Access Enablement and Handover
As part of the requested service, the Service Provider facilitates digital profile access enablement and handover within the relevant application, software, digital environment, or esport title.
The Customer acknowledges that digital profile access handover facilitation constitutes fulfillment of the requested access enablement service.
Upon successful access enablement and handover facilitation, the Customer assumes full and exclusive control and responsibility over the accessed digital profile or environment.
4. Service Completion and Acceptance
The Customer acknowledges and agrees that the service shall be deemed completed once access facilitation, onboarding assistance, account upgrade assistance, and digital profile access handover facilitation have been provided and made available within the relevant application, software, digital environment, or esport title.
Upon completion, the Customer acknowledges acceptance of the service and confirms that the Service Provider has fulfilled its service obligations.
This Agreement serves as binding confirmation of service completion and acceptance.
5. Transfer of Responsibility
Upon completion of digital profile access enablement and handover facilitation, the Customer assumes full and exclusive responsibility for the use, management, and security of the accessed application, software, digital environment, or esport title profile.
The Customer agrees to maintain confidentiality, implement appropriate security measures, and assume full responsibility for all activities associated with the accessed digital profile or environment.
The Service Provider shall have no responsibility for actions, access changes, or events occurring after service completion.
6. Customer Declaration and Consent
The Customer declares and confirms that:
• They have voluntarily requested and accepted the digital service
• They are authorized to accept and use the service
• They understand the nature of digital profile access enablement and handover facilitation
• They accept full responsibility following service completion
• They voluntarily accept and consent to this Agreement
7. Limitation of Liability
To the fullest extent permitted by law, the Service Provider’s liability is limited strictly to facilitating the requested digital service, onboarding assistance, and digital profile access enablement and handover facilitation.
The Service Provider shall not be liable for:
• Customer actions after service completion
• Changes within applications, software, digital environments, or esport titles after service completion
• External platform actions or restrictions
• Access changes occurring after handover facilitation
• Indirect or consequential losses
8. Identity Verification and Binding Acceptance
The Customer acknowledges that their identity verification, digital signature, and acceptance constitute legally binding confirmation of this Agreement.
Electronic acceptance shall have full legal validity and enforceability.
9. Service Invoice Confirmation
This Agreement-cum-Service Invoice confirms that the Customer has paid the applicable service fee for digital service facilitation, onboarding assistance, and digital profile access enablement and handover facilitation associated with the requested application, software, digital environment, or esport title.
10. Dispute Limitation
The Customer agrees that any service-related concern must be raised within a reasonable period following service completion.
Failure to do so constitutes confirmation of satisfactory service delivery.
This Agreement shall serve as primary evidence of service request, delivery, and acceptance.
11. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of India.
Any disputes arising shall be subject exclusively to the jurisdiction of the competent courts within the Service Provider’s principal place of business.
12. Independent Service Provider Status
The Service Provider operates independently and is not affiliated with any application developer, software provider, digital platform, or esport title publisher.
13. Entire Agreement
This Agreement constitutes the complete and binding agreement between the Service Provider and the Customer regarding the requested digital service.
14. Final Acknowledgment
By accepting this Agreement, the Customer confirms that:
• They requested the digital service voluntarily
• Digital profile access enablement and handover facilitation has been completed
• The service has been accepted
• Responsibility has transferred to the Customer
